Rules and ethics

Part of How to apply sales enablement rules and ethics across UK content

What should buyers check in sales enablement commercial contracts?

A buyer's checklist for sales enablement commercial contracts: the clauses to check, the UK data rules behind them and the questions to ask a supplier.

What to take away

  • The ICO's guidance on choosing a lawful basis for direct marketing sits under the UK GDPR. That regime has applied in the UK since 1 January 2021, and it shapes how a supplier may contact prospects for you.
  • A sales enablement commercial contract is four agreements in one: licence, deliverables, data processing and ownership.
  • Read the data processing schedule before the price schedule. Fixing a mismatch after signature costs more than negotiating it first.
  • These notes cover contracts governed by the law of England and Wales. Scotland and Northern Ireland differ on some court and enforcement points.
  • This is general guidance only. Individual cases need a qualified adviser.

Vendors and agencies are not ranked here. The list covers the clause types that appear most often when a buyer in England procures sales enablement software, sales content or a retained agency service. Selection is based on common contract structure, not on testing, scoring or any shortlist produced by this desk.

Which clauses carry the most commercial risk?

The six areas are licence, deliverables, data, ownership, benchmarking and exit. Define the licence scope and permitted users; deliverables, acceptance and change control; data roles and permitted processing; ownership and reuse; whether the supplier may use data or performance metrics for benchmarking; and exit rights, including termination for breach or convenience, notice periods, renewal and data return.

Six contract risk areas

  • Licence scopenamed users, seat caps, usage limits
  • Deliverablesformats, volumes, review rounds, deadlines
  • Data processingcontroller roles, sub-processors, retention
  • OwnershipIP assignment, licence-back, moral rights
  • Benchmarkingaudit rights, reporting, data use
  • Exitnotice, export, deletion, transition support

Pricing cuts across all six. For example, a team paying £2,500 a month on a twelve-month term commits £30,000 before any renewal conversation, so an exit clause is a financial term rather than a legal footnote.

Watch the uplift mechanics too. An automatic renewal with an uncapped index-linked increase can outweigh a discount won at signature, so ask for the CAP in writing.

Check the liability cap: whether it is aggregate or per claim, which losses it covers, and whether it is mutual. Consider expressly how the cap applies to fraud, confidentiality breaches, data protection and intellectual property infringement; define the scope and cap for each indemnity. Ask for evidence of professional indemnity, cyber and public liability insurance. Under the Unfair Contract Terms Act 1977, some exclusions and limits in business contracts are subject to a reasonableness test, depending on the term and circumstances.

What do data protection rules mean for outreach?

Most sales enablement platforms touch personal data, even when the content itself is not personal. Your business is normally the controller, and the supplier acts on your instructions.

Lawful basis for outreach

Does the message match the chosen lawful basis?

Yes

Document basis and proceed

No

Change basis or message before sending

Lawful basis comes first. The ICO's guidance on choosing a lawful basis for sending direct marketing sets out how consent, legitimate interests and the soft opt-in apply to business contacts. The basis you pick must match the message you send.

For a restricted transfer, identify the applicable safeguard: the UK International Data Transfer Agreement (IDTA) or the UK Addendum to the EU Standard Contractual Clauses, as appropriate, and record any required transfer risk assessment and technical and organisational safeguards. The processing schedule should name every sub-processor, set notice and objection rights for changes, and give you proportionate audit and inspection rights.

Where a contract promises unlimited audience targeting, read the processing schedule instead. Limits on enrichment, matching and retention live there, and they decide what you can honestly promise your own board.

How should you vet the supplier's claims?

Ask for current assurance evidence, such as ISO/IEC 27001 certification, a SOC 2 report or Cyber Essentials certification, and check the scope of each. Request a named security contact and a recent penetration test summary under NDA. Ask which AI features train on your content and what data they use.

Vet supplier claims

  • Current certifications
  • Named security contact
  • Recent penetration test summary under NDA
  • Which AI features train on your content
  • Uptime credit mechanism and measurement window

Product pages show how much workflow now sits inside the platform. HubSpot's sales software is one example of pipelines, email and content sitting together; make the contract identify which supplier features, model inputs and outputs, and data-use permissions are actually in scope.

If paid placements sit within the service, require the contract to identify who controls and processes campaign data at each stage, including buying systems and publishers. The IAB UK's back-to-basics guide to programmatic advertising explains how data moves between the platform, the buying system and the publisher.

Service levels deserve the same scrutiny. Uptime percentages mean little without a credit mechanism and a defined measurement window, so ask how outages are logged.

Who owns the content and the audience data?

Assume nothing. Work created by an agency stays with the agency unless the contract assigns copyright. Ask for a written assignment and a licence-back for portfolio use.

Subcontracted work is a common gap. If an agency uses freelancers, the chain of title must be complete, otherwise a later assignment may not cover everything you paid for.

Audience data is different. Lists, intent signals and engagement history should remain yours, with an export right in a usable format. The data schedule should also specify export and deletion arrangements, permitted retention after exit, and whether aggregated or anonymised data may be used for benchmarking. How that data should be stored and mapped is set out in sales enablement data protection in England.

Common questions

Does every sales enablement contract need a data processing agreement?

Where personal data is processed on your behalf, UK GDPR Article 28, read with the Data Protection Act 2018, requires a written contract covering subject matter, duration, purpose and security. If the supplier handles only content, a DPA is not automatic, so record the position either way.

Can a supplier reuse your content to train its own models?

Only if the agreement allows it. Check the intellectual property and confidentiality clauses for training, benchmarking and derivative use, then ask for an opt-out in writing.

Which law governs a contract signed with an English company?

English law and the courts of England and Wales are the usual default in English agreements. A supplier based in Scotland may prefer Scots law, which changes enforcement and limitation points.
